Legal Terms & Conditions
1. Introduction
1.1. These legal Terms and Conditions apply to the cloud-based Software as a Service solution (hereinafter “Connie”) provided by Connie ApS, Company Registration No. DK-42768294 (hereinafter “Supplier”). These Terms and Conditions and included appendices, together with the accepted offer by the Customer as defined in the offer (hereinafter “Customer”), constitute the Parties’ “Agreement”.
1.2. The Supplier reserves the right to change these legal Terms and Conditions with appropriate notice of at least 30 days. The Customer is considered to have accepted any change to the Terms and Conditions if the Customer continues to use Connie after the end of the notice period and after the amended Terms and Conditions enter into force. If the Customer cannot accept the amended Terms and Conditions, the Customer may choose to terminate their subscription to Connie following clause 10 below according to the applicable terms.
2. Entry Into Force & Duration
2.1. The Agreement shall enter into force as described in the offer the Customer has accepted.
2.2. The Agreement shall endure until terminated following clause 10 below.
3. Scope of License
3.1. Intellectual Property Rights. The Supplier maintains all rights, including intellectual property rights and any know-how, for Connie and the associated system and database.
3.2. Scope of License. Subject to the Customer’s final and effective payment of the applicable subscription fee, or valid entitlement to use an active trial period, and upon conclusion of the Agreement, the Customer obtains a non-exclusive, time-limited and non-transferable right to use Connie and related services during the applicable subscription or trial period. Unless otherwise expressly stated, the license covers only the specific legal entity that has entered into the Agreement with the Supplier.
3.3. Trial Period. The Supplier may provide the Customer with a free trial period when signing up to use Connie for the first time. Unless otherwise stated by the Supplier, the standard trial period is thirty (30) days. The Supplier may, at its sole discretion, offer a longer or shorter trial period, including through manual extensions, promotional campaigns, coupon codes, partnership arrangements, enterprise offers or other special arrangements. After the applicable trial period ends, the Customer must choose a subscription to continue using Connie. This can be done by selecting one of the subscription plans listed at https://www.getconnie.com/pricing or by setting up an enterprise agreement with the Supplier. The licensing model and corresponding features and limitations are based on the tiers described on the Supplier’s website.
3.4. After Trial Ends. If the Customer has not activated a paid subscription by the end of the trial period, the trial account enters the Retrieval Period described in clause 10.4 and is thereafter deleted in accordance with clauses 10.5 and 10.6.
4. About Connie
4.1. Connie is a document management and e-signature platform. It’s a cloud-based software-as-a-service platform, where companies and organisations can streamline, automate and digitise their contract workflows with participants, extras, location owners, research subjects, actors, etc.
4.2. At the start of the agreement period, Connie will be set up for the Customer and shall contain the functions and modules that appear in the accepted offer.
4.3. The Supplier is entitled to, at its own discretion, change the functionality and design of Connie.
4.4. Connie allows the Customer to send notification emails and PDF contract files to enter into contracts with signers. When using these functions, the Customer is solely responsible for complying with data protection and marketing regulations when sending notification emails and PDF contract files.
5. Prices & Payment
5.1. The Customer’s use of Connie requires the Customer to subscribe to a valid subscription option for the applicable period, unless the Customer is using Connie under an active trial period. If the Customer fails to pay any amount due under the Agreement in full and on time, the Supplier shall be entitled to suspend, restrict or close all or part of the Customer’s access to Connie until the Supplier has received the amount due. If the outstanding amount is not paid within thirty (30) days after suspension, the Supplier may treat the Agreement as terminated for material breach, and clause 10.4 applies.
5.2. The Customer’s subscription fee is either based on a proposal and invoice or on the selected self-service plan. The Customer can find all current plans and their corresponding pricing at www.getconnie.com/pricing.
5.3. All prices are indicated in EUR, GBP or DKK and exclude Danish VAT if applicable. The Customer can choose between monthly and yearly payments. Invoicing can be chosen for yearly commitments on the Team Plan and above. The prices may vary from country to country.
5.4. The Customer can cancel the Plan at any time to the end of a billing period. The Customer may also upgrade or downgrade between plans. If the Customer downgrades to a cheaper plan, any prepaid amounts will be credited from future payments. The Supplier does not reimburse already paid subscriptions in other ways.
5.5. To the extent the Supplier is engaged to provide further assistance not covered by the agreed subscription services, this assistance shall be invoiced on a time basis using hourly rates for consultancy services.
5.6. The Supplier reserves the right to change the price of the subscription for Connie with a minimum of 30 days’ notice. Already paid subscription periods will not be affected by the price changes, and changes will take effect once a plan is renewed.
6. Maintenance & Updates
6.1. To keep Connie running optimally and for the Customer’s benefit, necessary maintenance and updating of both hardware and software will be carried out continuously at the Supplier’s discretion. Efforts are made not to cause unnecessary interruptions in service. However, it may be necessary to close access to Connie for a limited time to perform updates. In the event of such closure, this will be done outside regular office hours to the extent possible.
7. Support & Service Level Agreement

8. The Customer’s Responsibility
8.1. The Customer agrees to: (i) maintain a legally adequate privacy policy on its Customer Properties and provide all required disclosures; (ii) obtain all necessary rights, releases, and consents to allow the Customer’s data or other information (including any personal information) to be collected, used, and disclosed in the manner contemplated by these Terms and Conditions and to grant the Supplier the rights and licenses set out in these Terms and Conditions; (iii) use Connie in compliance with the Supplier’s Acceptable Use Policy (available in the Supplier’s Trust Center at trust.getconnie.com); and (iv) not take any action that would cause the Supplier to become subject to any third-party terms (including open source license terms).
8.2. The Customer represents and warrants that its collection and use of any personal data provided to the Supplier comply with applicable data protection regulations. If the Customer receives any take-down requests or infringement notices related to the Customer’s use of Connie, the Customer must promptly: (i) stop using the related item with Connie; and (ii) notify the Supplier. If the Supplier receives any take-down requests or infringement notices related to the Customer, the Supplier may respond in accordance with its policies, and will notify and consult with the Customer on next steps.
8.3. The Customer is at all times solely responsible for and must bear the costs for being able to have the necessary machine and network capacity in their own environment to be able to use Connie optimally, including future updates.
8.4. The Customer may not use Connie for any illegal, pornographic, harmful, racist, harassing, violent, threatening or similar purposes or otherwise use it to send viruses, spam or harm third parties. If the Customer operates in several countries and applies Connie in these countries, the Customer must comply with the laws of the relevant countries when using Connie.
8.5. Connie may not be used if the Customer provides services in direct competition with the Supplier. The Customer must notify the Supplier if this is the case and immediately cease using Connie.
8.6. Connie may not be modified or otherwise affected so that parts of the system are bypassed or replaced by other services, e.g., using APIs, scripts, or other automated processes, without direct written approval.
8.7. The document templates provided by Connie are intended to serve as general references and starting points for various types of documents. The Customer acknowledges and agrees that such documents and templates are not considered a substitute for professional legal advice or services. The Supplier shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from or in connection with using or misusing such document templates, including errors, inaccuracies, or any reliance placed on the content of the templates.
The Customer should consult with a qualified attorney or legal expert to ensure that the templates provided are appropriate for the Customer’s specific situation, processing and jurisdiction.
9. E-signatures
9.1. Electronic signatures created with the Supplier’s native e-signature functionality constitute electronic signatures within the meaning of Article 3(10) of Regulation (EU) No 910/2014 (eIDAS), as amended. Each signed document is sealed in PAdES format with the Supplier’s electronic seal and time-stamped by a qualified trust service provider, so that the integrity of the document and the time of signing can be verified. Each signature is accompanied by an audit trail (including timestamp, IP address, email address, browser information and a cryptographic hash of the signed document) documenting the signing process.
9.2. Where available, the Customer may enable eID-based signing for a document, currently through MitID (Denmark), BankID (Sweden) and Finnish eIDs (Finland). Signatures created with eID-based signing are designed to meet the requirements for advanced electronic signatures in Article 26 of eIDAS. The signer’s identity is verified through the relevant eID scheme and documented in a signature evidence record delivered together with the signed document. eID-based signing is delivered through the Supplier’s eID sub-processor listed in the Trust Center and is subject to the availability and terms of the relevant eID scheme. The Supplier does not provide qualified electronic signatures.
9.3. Customer acknowledges and agrees that:
(i) as between the Supplier and the Customer, the Customer has exclusive control and responsibility for the content of all the Customer’s data, including any documents and templates used with Connie;
(ii) certain types of documents, agreements, or contracts may be excluded from general electronic signature laws (such as wills, trusts, court orders, or family law matters), or may have specific regulations applicable to them;
(iii) the Customer is solely responsible for ensuring that the documents, agreements, or contracts it uses with Connie are appropriate for electronic signature, including for selecting the appropriate signature level, and the Supplier is not responsible or liable for any such determination or use; and
(iv) where consumer protection laws or regulations impose specific requirements for electronic transactions involving consumers, the Customer is solely responsible for ensuring compliance with such laws and regulations, and the Supplier has no obligation to determine such requirements or assist in fulfilling them.
9.4. The Customer acknowledges that eIDAS sets minimum standards only and that additional requirements may apply under national law, sector regulation or the Customer’s own policies, including requirements for a particular signature level (simple, advanced or qualified) for certain document types. Some documents may not be suitable for execution using Connie, and the Supplier makes no representation or warranty as to the legal sufficiency of its e-signature functionality for any specific document or jurisdiction.
10. Termination, Export & Deletion
10.1. The Parties may terminate the Agreement at any time to the end of the active and agreed billing period.
10.2. The Parties may also terminate the Agreement insofar as one party is in material breach of its obligations under the Agreement.
10.3. Export During the Term. During an active subscription or trial period the Customer may at any time export its data using the export functionality in Connie. Exportable data comprises the Customer’s documents – signed and unsigned – in PDF format. Signed documents retain the electronic seal and qualified timestamp described in clause 9.1. Audit trails, document templates, signer and contact records, account settings and data specific to the internal functioning of Connie are not included in the standard export; assistance with extracting such data may be requested and is invoiced under clause 5.5.
10.4. Retrieval Period. When the Agreement ends – whether by termination under clause 10.1 or 10.2, by non-payment under clause 5.1, or because a trial period ends without conversion to a paid subscription – the Customer’s account enters a Retrieval Period of thirty (30) calendar days. During the Retrieval Period the account is locked for normal use, but the Customer can still log in to either reactivate the account by choosing a subscription and adding a payment method, or export its data free of charge using the export functionality. Assistance beyond the standard export, such as custom formats or migration support, is invoiced at the Supplier’s hourly rates under clause 5.5.
10.5. Deletion. Upon expiry of the Retrieval Period, the Supplier permanently deletes the account and all associated data, documents, templates, files, settings and user content. Deleted data cannot be recovered. Copies in backups are purged within thirty (30) days thereafter. Deletion does not apply to data the Supplier is legally required to retain (such as invoicing records under the Danish Bookkeeping Act) or where a longer retention period has been agreed in writing.
10.6. Notices. The Supplier notifies the Customer’s account owner by email when the Retrieval Period begins, again seven (7) days and one (1) day before deletion, and confirms by email once deletion has been completed. The scheduled deletion date is also shown in the account during the Retrieval Period. It is the Customer’s responsibility to keep account owner contact details up to date and to export its data within the Retrieval Period.
10.7. Signer Document Archive. Deletion of the Customer’s account does not affect copies of signed documents that signers have chosen to keep in their own Signer Document Archive, which the Supplier provides to signers as an independent service under its General Privacy Policy.
10.8. Enterprise Agreements. Where an enterprise agreement specifies different export, retention or deletion terms, those terms prevail.
11. Processing of Personal Data & Security
11.1. In connection with providing Connie, the Supplier will process the Customer’s personal data. The Customer is the data controller for the processing of personal data in Connie, and the Supplier is the data processor for the Customer.
11.2. The Supplier’s processing of the Customer’s personal data is regulated in more detail in a separate Data Processing Agreement, available at https://getconnie.com/dpa. The Data Processing Agreement contains separate regulations for amendment and termination of the Data Processing Agreement.
11.3. Before using Connie, the Customer shall conduct appropriate risk assessments to determine the level of security required to safeguard the Customer’s data uploaded to Connie, especially concerning personal data. The Supplier shall be notified if the Customer’s risk assessment requires the implementation of additional safeguards, and the Customer shall bear all costs in this regard.
11.4. The Customer is responsible for maintaining the security of its account. The Supplier is not liable for any loss or damage from the Customer’s failure to comply with this security obligation.
11.5. Without prejudice to clauses 11.3 and 11.4, the Supplier maintains appropriate technical and organisational security measures, as described in the Supplier’s Trust Center and the Data Processing Agreement, to protect data in its possession or control, or in the possession or control of its personnel, against unauthorised access, use, copying or disclosure.
11.6. The Supplier may alter or update the Customer’s account logins and passwords and the logins and passwords of any authorised users at any time throughout the subscription or trial period.
11.7. The Supplier processes personal data in two capacities. Personal data that the Customer and its users upload to or generate in Connie – including documents, signer data and audit trails – is processed by the Supplier solely as data processor on the Customer’s behalf under the Data Processing Agreement, using only the sub-processors listed in the Supplier’s Trust Center. Personal data about the Customer’s contact persons and account owners that the Supplier needs for account administration, invoicing, support and communication is processed by the Supplier as an independent controller, as described in the Privacy Policy for Customers.
12. Limitation of Liability
12.1. The Parties are liable for damages in accordance with the general rules of Danish law with the limitations and restrictions stated in these Terms and Conditions.
12.2. The Supplier is not responsible for the Customer’s failure to comply with the minimum system requirements for using Connie.
12.3. The Supplier is not liable for indirect losses, consequential or punitive damages. Loss of business opportunities, loss of profit, loss of goodwill, loss of data, including loss in connection with data recovery, loss of interest and penalties paid by/to third parties, as well as costs for restoration and re-installation, etc., is in any case considered as indirect loss or consequential damage.
12.4. The Supplier’s liability to the Customer, whatever the cause of the damage, may never exceed the lower of the following amounts: (i) the sum of the last 6 months’ payments from the Customer, or (ii) DKK 100.000.
12.5. The Supplier shall not be liable to the Customer when circumstances occur that impede or delay the Supplier’s fulfilment of its obligations, including war, mobilisation, riots and unrest, terrorist attacks, natural disasters, strikes and lockouts, viruses, hacking, spamming, crashes or other unforeseen and extraordinary strain on the IT systems or telecommunications networks used by the Supplier, injunctions by public authorities and rights holders, or other circumstances for which the Supplier has no direct control. If one or more of the aforementioned circumstances occur, the Supplier is entitled to postpone the delivery of its services or terminate the Agreement without liability. The Customer’s remuneration is suspended for the same period the aforementioned circumstances impede fulfilment.
13. License & Intellectual Property Rights
13.1. The Customer acknowledges and agrees that the Supplier and/or its licensors own all intellectual property rights to Connie. Except as expressly stated herein, the Agreement does not grant the Customer any rights to, under or in, any patents, copyright, database right, trade secrets, trade names, trademarks (whether registered or unregistered), or any other rights or licenses in respect of Connie.
13.2. The Customer shall not:
(a) except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties and except to the extent expressly permitted under the Agreement:
(i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of Connie (as applicable) in any form or media or by any means; or
(ii) attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of Connie; or
(b) access all or any part of Connie in order to build a product or service which competes with Connie; and
(c) make use of or encourage others to make use of any form of crawling or bulk extraction of data via web robots, crawlers, scrapers or other automatic means from Connie, the Supplier’s databases or the Supplier’s websites without express, written and prior authorisation from the Supplier.
13.3. If the Customer does not comply with its obligations in clause 13.2, the Supplier is entitled to disable the Customer’s password, account and access to all or part of Connie. Based on a specific suspicion, the Supplier has the right to conduct an audit of the Customer’s non-compliance with clause 13.2.
13.4. The Supplier confirms that it has all the rights in relation to Connie that are necessary to grant all the rights it purports to grant under, and in accordance with, the terms of the Agreement.
13.5. The Customer has ownership rights over the data that the Customer uploads to Connie. The Supplier’s rights are limited to operating, promoting and developing Connie. They must never result in disclosure of the Customer’s confidential data to third parties in a non-anonymous format.
13.6. Each party can use the other party’s logo, name and trademark for marketing purposes on websites, promotional material, newsletters, sales material and reports, as the using party intends, if it is used in good faith, to signal a positive collaboration with the other party to the surroundings.
14. Miscellaneous
14.1. The Customer is not entitled to transfer the Agreement to a third party without the Supplier’s prior written consent.
14.2. The Supplier is entitled to transfer Connie with included agreements, data and content insofar as the transfer occurs as part of a merger and acquisition or other similar circumstances.
15. Governing Law & Jurisdiction
15.1. Insofar as the Parties cannot resolve a dispute amicably, any dispute arising between the Parties shall be governed by Danish law and settled by the Danish courts in the jurisdiction where the Supplier’s headquarters is located.
